Tool Kit Depot Trade Membership Program Terms and Conditions

  1. Introduction

1.1         Tool Kit Depot Trade Membership is a customer benefits program managed and conducted by Bunnings Group Limited (trading as Tool Kit Depot), ABN 26 008 672 179. By signing up as a Tool Kit Depot Trade Member, you agree to the following Terms and Conditions.

1.3         The Program is designed to offer great benefits and offers to Members and to help us better understand our Members and their purchasing with us.  

 

  1. Definitions and Interpretation 

“Australian Consumer Law” Schedule 2 of the Competition and Consumer Act 2010 (Cth).

“Member” means an individual or entity who has signed-up for Membership in accordance with the Terms and Conditions, and whose application for Membership has been accepted by Tool Kit Depot, and whose Membership has not been terminated by Tool Kit Depot or the Member. 

“Membership” means being a Member of the Program. 

“Program” means the Tool Kit Depot Trade Membership Program. 

“Team” means all current employees of Tool Kit Depot. 

“Term” means the period from the date of notification of acceptance of your Membership by us.  

“Terms and Conditions” means the terms and conditions applicable to the Program as set out here and as amended from time to time in accordance with clause 10. 

“Tool Kit Depot” means Bunnings Group Limited trading as Tool Kit Depot, ABN 26 008 672 179.

“us” means Tool Kit Depot.

“we” means Tool Kit Depot.

“Website” means our website at toolkitdepot.com.au.

“you” means you, being an individual or entity that is a prospective, current or former Member.

 

  1. Membership Sign-Up

3.1.        To become a Member, you must:

(a)         provide accurate and complete information during the sign-up process; and. 

(b)         meet the eligibility criteria in clause 4.  

3.2         A non-transferrable physical Membership card will be provided and/or issued for this Program. 

 

  1. Eligibility

4.1         Membership is free to all Australian residents aged 18 years or over, and entities, with a valid ABN, email address and phone number. 

4.2         Memberships are limited to one Membership per person or entity. An individual or entity is not entitled to have more than one Membership except where a valid ABN that is distinct for each individual or entity exists. 

4.3         Our Team, and their immediate family members, are not eligible to participate in Program benefits, including any discounts, rewards or promotions offered from time to time.  

4.4         Items purchased using benefits derived from Membership in the Program are not transferrable and cannot be resold for profit.

4.5         By signing up for Membership you confirm that:

(a)         you have read, understood, and accepted the Terms and Conditions;

(b)         you, and for Members that are entities, your representative nominated to us,  have read and understood the Tool Kit Depot Privacy Policy (available at toolkitdepot.com.au/privacy-policy and on request); and

(c)          you are eligible for Membership of the Program. 

4.6         Membership continues subject to the termination or cancellation of Membership by the Member or Tool Kit Depot or until such time the ABN associated to the Membership becomes invalid.  

 

  1. Membership Benefits

5.1         As a Tool Kit Depot Trade Member, you will be entitled to exclusive benefits, including special promotions, and access to Members-only content, offers, discounts and events. 

5.2         The Tool Kit Depot Trade Membership benefits are subject to change, and Tool Kit Depot reserves the right to modify or terminate the Program at any time. without prior notice.

5.3         Some Membership benefits may be subject to additional terms, conditions and exclusions which we will make available to you when communicating about the benefit. You must review these where applicable to a benefit you wish to use. 

 

  1. Communication

6.1        By signing up to the Program, you consent to receiving promotional communications, including emails, SMS, and promotional materials, from Tool Kit Depot. 

6.2         You may choose to opt out of receiving promotional communications, or a specific method of promotional communications, by following the unsubscribe instructions provided in our communications. You understand that if you opt out of promotional communications, you may not be able to receive some of the Membership benefits available to you (for example, offers that require a personalised ‘coupon’ code).

6.3         Notwithstanding any opt-out under clause 6.2, we may still send you administrative and other non-promotional communications, including via electronic means such as email and SMS.

 

  1. Account Data

7.1         Tool Kit Depot will collect and store your account information including, but not limited to your name, email address, and purchase history. Our Privacy Policy contains further details about our handling of personal information. 

7.2         You are responsible for maintaining the confidentiality of your account information and ensuring the security of your login credentials.

7.3         Where there are changes to your account information, you must promptly update that information on our Website.

 

  1. Termination of Membership

8.1         Tool Kit Depot reserves the right to terminate your Membership at its discretion, with or without cause. Tool Kit Depot will provide you with reasonable notice and retains the right to immediate termination if reasonably necessary to protect Tool Kit Depot’s legitimate interests.  

8.2         You may also voluntarily terminate your Membership at any time by contacting our team at onlinesales@toolkitdepot.com.au 

 

  1. Liability

9.1         To the extent permitted by applicable law (including under the Australian Consumer Law), Tool Kit Depot shall not be liable for any loss, damage, or injury resulting from your Membership in the Program or your use of the Membership benefits. 

9.2         Except for warranties which cannot be excluded at law (including the consumer guarantees under the Australian Consumer Law), Tool Kit Depot disclaims all warranties, express or implied, regarding the Program and its benefits, including but not limited to warranties of merchantability and fitness for a particular purpose. 

 

  1. Changes to Terms and Conditions

10.1       Tool Kit Depot reserves the right to modify these Terms and Conditions at any time. Subject to clause 10.2, any changes will be effective immediately upon posting on our Website. 

10.2       Tool Kit Depot will provide you with reasonable notice of any changes to the Terms and Conditions where the changes may be adverse to you.

10.3       It is your responsibility to review these Terms and Conditions periodically to stay informed of any updates.

10.4       You may terminate your Membership if you do not agree to any changes to the Terms and Conditions. 

 

  1. Other Terms

11.1       If you use our Website, or order goods and services, then our Terms of Sale and Delivery, Website Terms of Use and Returns Policy also apply to you. These are available on our Website and are updated from time to time.

11.2       We may offer competitions to Members from time to time. These competitions may also be subject to terms and conditions which you must accept to enter the competition.

 

  1. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of that State.
